TalentSpring, Inc.'s Web sites may contain links to other Web sites. TalentSpring, Inc. is not responsible for the information practices or the content of such other Web sites. The Company encourages you to review the privacy statements of other Web sites to understand their information practices.

'Personal Information Collected'

TalentSpring, Inc. offers a variety of services that collectively referred to as the "Service". TalentSpring, Inc. collects information from individuals who visit the Company's Web sites ("Visitors") and individuals who register to use the Service ("Customers").

When expressing an interest in obtaining additional information about the Service or registering to use the Service, TalentSpring, Inc. requires you to provide the Company with contact information, such as name, company name, address, phone number, and email address ("Required Contact Information"). When purchasing the Service, TalentSpring, Inc. requires you to provide the Company with financial qualificaiton and billing information, such as billing name and address, credit card number and the number of employees within the organization that will be using the Service ("Billing Information"). TalentSpring, Inc. may also ask you to provide additional information, such as company annual revenues, number of employees, industry or specific Job Board and Applicant Tracking System ("ATS") credentials ("Optional Information"). Required Contact Information, Billing Information, and Optional Information are referred to collectively as "Data About TalentSpring, Inc. Customers".

As you navigate the Company‘ Web sites, TalentSpring, Inc. may also collect information through the use of commonly-used information-gathering tools, such as cookies and Web beacons ("Web Site Navigational Information"). Web Site Navigational Information includes standard information from your Web browser (such as browser type and browser language), your Internet Protocol ("IP") address, and the actions your take on the Company‘s Web sites (such as the Web pages viewed and the links click).

'Use of Information Collected'


The Company uses Data About TalentSpring, Inc. Customers to perform the servies requested. For example, if you fill out a "Contact Me" Web form, the Company will use the information provided to contact you about your interest in Service.

The Company may also us Data About TalentSpring, Inc. Customers for marketing purposes. For example, the Company may use information you provide to contact you to further discuss your interest in TalentSpring, Inc., the Service, and to send you information regarding the Company and its partners, such as information about promotions or events.

TalentSpring, Inc. uses credit card information solely to check the financial qualifications of prospective Customers and to collect payment for the Service.

TalentSpring, Inc. uses Web Site Navigational Information to operate and improve the Company‘s Web sites. The Company may also use Web Site Navigational Information in combination with Data About TalentSpring, Inc. Customers to provide personalized information about the Company.

'Web Site Navigational Information'

TalentSpring, Inc. uses commonly-used information-gathering tools, such as cookies and Web beacons to collect information as you navigate the Company‘s Web sites("Web Site Navigational Information"). This section describes the types of Web Site Navigational Information the Company may use this information.

Cookies

TalentSpring, Inc. uses cookies to make interactions with the Company‘s Web sites easy and meaningful. When you visit one of the Company‘s Web sites, TalentSpring, Inc.‘s servers send a cookie to your computer. Standing alone, cookies do not personally identify you. They merely recognize your Web browser. Unless you choose to identify yourself to TalentSpring, Inc., either by responding to a promotional offer, opening an account, or filling our a Web form (such as a "Contact Me" or a "30 Day Free Trial" Web form), you remain anonymous to the Company.

There are two types of cookies: session-based and persistent-based. Session cookies exist only during one session. They disapear from your computer when you close your browser software or turn off your computer. Persistent cookies remain on your computer after you close your browser or turn off your computer.

If you have chosen to identify yourself to TalentSpring, Inc., the Company uses session cookies containing encrypted information to allow the Company to uniquely identify you. Each time you log into the Service, a session cookie containing an encrypted, unique identifier that is tied to your account is placed in your browser. These session cookies allow the Company to uniquely identify you are logged into the Service and to process your online transactions and requests. Session cookies are required to use the Service.

TalentSpring, Inc. uses persistent cookies that only the Company can read and use to identify browsers that have previously visited the Company‘s Web sites. When you purchase the Service or provide provide the Company with personal information, a unique identifier is assigned you. The unique identifier is associated iwth a persistent cookie that the Company places on your Web browser. The Company is especially careful about the security and confidentiality of the information stored in persistent cookies. For example, the Company does not store account numbers or passwords in persistent cookies. If you disable your Web browser‘s ability to accept cookies, you will be able to navigate the Company‘s Web sites, but you be able to successfully use the Service.

TalentSpring, Inc. may use information from session and persistent cookies in combination with Data About TalentSpring, Inc. Customers to provide you with information about the Company and the Service.

Web Beacons

TalentSpring, Inc. uses Web beacons alone or in conjunction with cookies to compile information about Customers and Visitors‘s usage of the Company‘s Web sites and interaction with emails from the Company. Web beacons are clear electronic images that can recognize certain types of information on your computer, such as cookies, when you viewed a particular Web site tied to the Web beacon, and a description of a Web site tied to the Web beacon. For example, TalentSpring, Inc. may place Web beacons in marketing emails that notify the Company when you click on a link in the email that directs you to one of the Company‘s Web sites. TalentSpring, Inc. uses Web beacons to operate and improve the Company‘s Web sites and email communications. TalentSprin, Inc. may use information from Web beacons in combination with Data About TalentSpring, Inc. Customers to provide you with information about the Company and the Service.

IP Addresses

When you visit TalentSpring, Inc.‘s Web sites, the Company collects your Internet Protocol ("IP") addresses to track and aggregate non-personally identifiable information. For example, TalentSpring, Inc. uses IP addresses to monitor the regions from which Customers and Visitors navigate the Company‘s Web sites.

TalentSpring, Inc. also collects IP addresses from Customers when they log into the Service as part of the Company‘s "Identity Confirmation" and "IP Range Restrictions" security features.

Third Party Cookies

From time-to-time, TalentSpring, Inc. engages third parties to track and analyze non-personally identifiable usage and volume statistical information from individuals who visit the Company‘s Web sites. TalentSpring, Inc. may also use other third-party cookies to track the performance of the Company advertisements. The information provided to third-parties does not include personal information, but this information may be re-associated with personal information after the Company receives it. This Privacy Statement does not cover the use of third party cookies.

'Public Forums, Refer a Friend, and Customer Testimonials'

TalentSpring, Inc. may provide bulletin boards, blogs, or chat rooms on the Company‘s Web sites. Any personally identifiable information you choose to submit in such a forum may be read, collected, or used by others who visit these forums, and may be used to send you unsolicited messages. TalentSpring, Inc. is not responsible for the personally identifiable information you choose to submit in these forums.

Customers and Visitors may elect to use the Company‘s referral service to inform friends about the Company‘s Web sites. When using the referral service, the Company requests the friend‘s name and email address. TalentSpring, Inc. will automatically send the friend a one-time email inviting him or her to visit the Company‘s Web sites. TalentSpring, Inc. does not store this information.

TalentSpring, Inc. posts a list of Customers and testimonials on the Company‘s Web sites that contain information such as Customer names and titles. TalentSpring, Inc. obtains the consent of each Customer prior to posting any information on such a list or posting testimonials.

'Sharing of Information Collected'

TalentSpring, Inc. posts a list of Customers and testimonials with the Company‘s agents so that these agents can contact Customers and Visitors who have provided contact information on our behalf. TalentSpring, Inc. may also share Data About TalentSpring, Inc. does not share, sell, rent, or trade personally identifiable information with third parties for their promotional purposes.

TalentSpring, Inc uses a third-part intermediary to manage credit card processing. This intermediary is not permitted to store, retain, or use Billing Information except for the sole purpose of credit card processing on the Company‘s behalf.

TalentSpring, Inc. reserves the right to disclose personally identifiable information of the Company‘s Customers or Visitors if required by law or if the Company reasonably believes that disclosure is necessary to protect the Company‘s rights and/or to comply with a judicial proceeding, court order, or legal process

'Communications Preferences'

TalentSpring, Inc. offers Customers and Visitors who provide contact information a means to choose how the Company uses the information provided. You may manage your receipt of marketing and non-traditional communications by clicking on the "unsubscribe" link located on the bottom of the Company‘s marketing emails. Additionally, you may send a request specifying your communications preferences to support@talentspring.com Customers cannot opt out of receiving transactional emails related to their account with TalentSprint, Inc. or the Service.

'Correcting and Updating Your Information'

Customers may update or change their registration information by editing their user or organization record. To update a user profile, please login to www.talentspring.com with your TalentSpring, Inc. username and password and click "Setup&squot;. To update an organization‘s information, please login to www.talentspring.com with your TalentSpring, Inc. username and password and select "Organization Setup". To update Billing information or have your registration information deleted, please email support@talentspring.com or call (800) 830-4605. To discontinue your account and to have information you maintained in the Service returned to you, please email support@talentspring.com or call (800) 830-4605. Requests to access, change, or delete your information will be handled within 30 days.

'Customer Data'

TalentSpring, Inc. Customers use the Service to host data and information ("Customer Data"). TalentSpring, Inc. will not review, share, distribute, or reference any such Customer Data except as provided in the TalentSpring, Inc. Master Subscription Agreement, or as may be required by law. Individual records of Customer Data may be viewed or accessed only for the purpose of resolving a problem, support issues, or suspected violation of the TalentSpring, Inc. Master Subscription Agreemnt, or as may be required by law. Customers are responsible for maintaining the security and confidentiality of their TalentSpring, Inc usernames and passwords.

'Security Statement'

TalentSpring, Inc. utilizes some of the most advanced technology for Internet security available today. When you access our site using Netscape Navigator 6.0 or Microsoft Internet Explorer version 5.5 or higher, each client company data is secured in its own private area, along with all related client data, ensuring that your data is safe, secure, and available only to registered Users in your organization. Your data will be completely inaccessible to your computers.

TalentSpring, Inc. provides each User in your organization with a unique user name and password that must be entered each time a User logs on. TalentSpring, Inc. issues a session "cookie" only to record encrypted authentication information for the duration of a specfic session. The session "cookies" does not include either the username or password of the user. TalentSpring, Inc. does not use "cookies" to store other confidential user and session information, but instead implements more advance security methods based on dynamic data and encoded session IDs.

In addition, TalentSpring, Inc. is hosted in a secure server enviroment that uses a firewall and advanced technology to prevent interference or access from outside intruders.

'Changes to this Privacy Statement'

TalentSpring, Inc. reserves the right to change this Privacy Statement. TalentSpring, Inc. will provide notification of the material changes to this Privacy Statement through the Company‘s Web sites at least thirty (30) business days prior to the change taking effect.

Acceptance of Terms of Service
These Terms of Service ("Agreement") constitute a binding legal agreement between you and TalentSpring, Inc. regarding your use of the TalentSpring website and any service provided via the website ("Service") Please read this Agreement carefully. By registering for or using the Service, you accept this Agreement and any modifications that may be made to the Agreement from time to time, whether you are acting on your own behalf or, in the case of a recruiter, on behalf of a third party employer to whom you are providing recruiting services. You further agree that any of your agents, representatives, employees, or any person or entity acting on your behalf with respect to the use of the Service will be bound by, and will abide by, the terms and conditions in this Agreement. If you do not agree to any provision of this Agreement, you should not use the Service. The terms "you," "your," and "yours" refer to you, the job candidate, recruiter, site visitor, manager, employee, or employer using the Service. The terms "TalentSpring," "we," "us," and "our" refer to TalentSpring, Inc.

The Service
Visitors to the TalentSpring website may, without registering for an account, browse the pages of the site. Registered users of the Service may use the Service in the following ways: Recruiters or prospective employers may search Resumes for eligible candidates. WE DO NOT FACT-CHECK RESUMES AND HAVE NO WAY OF INDEPENDENTLY VERIFYING THE ACCURACY OF INFORMATION OR IDENTITY GIVEN TO US BY ANY USER. YOU SHOULD ALWAYS BE CAUTIOUS ABOUT GIVING PERSONAL INFORMATION TO STRANGERS OR POSTING IT IN A PUBLIC PLACE WHERE SUCH INFORMATION COULD BE USED TO HARM, HARASS OR OTHERWISE BE USED AGAINST YOU.

TalentSpring Fair Use Policy
Each TalentSpring account includes up to 80 Job Searches per month. If your account covers more than one country, then this is the total number of searches allowed per month for your entire account, and is not a separate limit for each country. If an account’s search limits are exceeded frequently (2 out of 3 months) TalentSpring has the right to add additional subscription fees associated with that specific user account.

TalentSpring reserves the right to change this fair usage policy at any time. Changes shall become effective within thirty (30) days of publication of the revised version on www.TalentSpring.com. Your continued use of your account after expiry of the 30-day period shall constitute your acceptance to be bound by the terms and conditions of the revised Fair Usage Policy.

Eligibility
You must be 18 years of age or older to use the Service. Use of the Service is void where prohibited. You represent and warrant that the profile information you submit is true and accurate and that you are 18 years of age or older and are fully able and competent to enter into, and abide by the terms of this Agreement. The Service is not intended for those under the age of 18.

Account Registration
You must register for and maintain a TalentSpring account to use any Service. In order to enable certain services for employers, you must also enter a valid credit card number that is in your name, or that you are otherwise authorized to use. When registering for an account, submitting a Resume or Job Posting, or otherwise using a Service (including responding to any questions prompted by a Service), you must provide accurate, truthful, and complete information and promptly update this information to keep it current. If you provide any information that is inaccurate, untruthful, or incomplete, or we have reason to believe that the information is inaccurate, untruthful, or incomplete, we may suspend or terminate your account and your use of the Service.
You are solely responsible for all activities that occur through your account. You may not provide your username or password to anyone else, and you may not share use of an account with any other person or entity unless expressly allowed by the Service you selected. Please notify us immediately of any unauthorized use of your account or any other breach of security.

Fees and Payment
If you register for one or more Resume-searching Services, you will be charged the then-current fee for the specific Service selected by you at the time you register for that Service.

Authorization to Charge Credit Card
By registering for a TalentSpring fee-based Service, you authorize TalentSpring to charge the credit card identified by you (which you represent and warrant that you are authorized to use) all applicable fees for such Service, in United States dollars, including all applicable taxes, as described in this Agreement, at the intervals described on the TalentSpring website at the time you register for the Service.

Expired or Refused Credit Card and Other Billing Issues
If TalentSpring does not receive payment from your credit card provider or if your credit card expires or is rejected, you will pay all amounts due upon demand. You must notify TalentSpring about any billing problems or discrepancies within 90 days after they first appear on your credit card account statement. If you do not bring them to TalentSpring's attention within 90 days, you waive your right to dispute such problems or discrepancies. You are solely responsible for any and all fees charged to your credit card by the issuer, bank, or financial institution including, but not limited to, membership, overdraft, insufficient funds, and over the credit limit fees. A late charge on any outstanding balances will be assessed at the lower of 1.5% or the maximum allowed by law for each month in which the balance remains unpaid. In the event of any failure by you to make payment, you will be responsible for all reasonable expenses (including attorneys' fees and costs paid to outside counsel and reimbursement for in-house counsel time at rate equal to counsel's then-current fully-allocated compensation and overhead) incurred by TalentSpring in collecting such amounts.

Cancellation of Services and Account; 30-Day Refund Policy
You may cancel a TalentSpring fee-based Service at any time via your TalentSpring account. If you are not satisfied with a fee-based Service, you are eligible to receive a refund of the amount you paid for a canceled or expired Service within 30 days of the date of your cancellation or the expiration of the applicable Service. To request a refund, you must contact Refund@TalentSpring.com within 30 days of the cancellation or expiration date of the applicable Service. You may cancel your TalentSpring account at any time, as described in the "Termination" section below. Upon account cancellation, any fee-based Service that you are registered for at that time will also terminate, and you will not be eligible for a refund of any fee-based Service except as expressly provided in this Agreement.

Additional Requirements
You must comply with all applicable laws when using the Service. Except as may be expressly permitted by applicable law or authorized by us in writing, you will not, and will not permit or enable anyone else to: (a) use any automated tool to use, access, or navigate the Service except via generally available third party search engines (not specific to recruiting or employment) and web browsers; (b) rent, lease, sublicense, or share your access to the Service to or with another person; (c) circumvent or disable any digital rights management, usage rules, or other security features of the Service or frame any information on any portion of the Service; (d) use the Service in a manner that threatens the integrity, performance, or availability of the Service; (e) remove, alter, or obscure any proprietary notices (including copyright notices) on any portion of the Service; (f) use the Service for any purpose other than seeking employment, career, and career networking information, or seeking to fill a Job Posting; (g) post any Job Posting for a position with any competitor of TalentSpring; (h) post any content that contains a link to any TalentSpring competitor's website; (i) upload a Job Posting contains any information that is irrelevant to the position, including hyperlinks, keywords, or "hidden" keywords; (j) post any Job Posting or other content that involves any franchise, pyramid scheme, "club membership," distributorship, or sales representative agency arrangement or other business opportunity that requires an up front or periodic payment or recruitment of other members, sub-distributors or sub-agents; (k) post any Job Posting that pays commissions only unless the Job Posting makes clear that the available job pays commission only and clearly describes the product or service that the job candidate would be selling; (l) send any unsolicited mail, email, or fax, or make any unsolicited phone call to a TalentSpring user; (m) decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way used in any Service; (n) copy, duplicate, or aggregate in any manner any content available on a Service (including any resume or Job Posting), unless expressly allowed by that specific Service; or (o) use a single TalentSpring account to provide job candidate-related services to more than one employer, agency, or recruiter, unless expressly allowed by your specific account.

Modifications to the Service
TalentSpring reserves the right to modify or discontinue, temporarily or permanently, all or a part of the Service without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

Term and Termination
Your account remains in effect unless you cancel it or unless TalentSpring terminates your account as provided by under this Agreement. Any fee-based Service you have purchased remains in effect for the duration of time selected by you at the time you purchased the Service, unless sooner terminated by either you or TalentSpring as provided in this Agreement. To terminate your TalentSpring account, from the Options menu please select "Close Account" and follow the instructions provided. Please email Support@TalentSpring.com if you have problems or concerns about closing your account. Termination of your account is your sole right and remedy with respect to any dispute with us regarding the Service or this Agreement. We may terminate your account at any time for any reason by providing you with notice in any reasonable manner, including via email and via notices posted on the Service. Your rights under this Agreement will terminate automatically if you breach any part of this Agreement.
Upon termination of this Agreement and closure of your TalentSpring account, any pending Services will be cancelled. You will remain liable for all obligations related to your account even after such account is closed. TalentSpring is not liable for any loss of your Resume, Job Posting, data, or any other information caused by any closure of your TalentSpring account.

Privacy Policy
We may collect registration and other information about you through the Service. Our collection and use of this information is governed by the TalentSpring Privacy Policy available at http://www.TalentSpring.com/about/privacy_policy.

Ownership
We, our affiliates, and our suppliers and licensors own all right, title, and interest, including all intellectual property rights, in and to the Service. Except for those rights expressly granted in this Agreement, no other rights are granted, either express or implied, to you.

Feedback
If you provide feedback to us regarding the Service ("Feedback"), you authorize us to use that Feedback without restriction and without payment to you. Accordingly, you hereby grant to us perpetual and irrevocable license to use the Feedback for any purpose.

Disclaimer of Warranties
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TALENTSPRING EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF THE SERVICE, AND YOU RELY ON THE SERVICE AT YOUR OWN RISK. ANY RESUME, JOB POSTING, OR OTHER USER-SUPPLIED CONTENT TRANSMITTED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY LOSS OF DATA THAT RESULTS FROM THE TRANSMISSION OF ANY MATERIAL THROUGH THE SERVICE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM TALENTSPRING OR THROUGH OR FROM THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT. SOME STATES MAY PROHIBIT A DISCLAIMER OF WARRANTIES AND YOU MAY HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE.

Limitation of Liability
TALENTSPRING WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF TALENTSPRING HAS BEEN ADVISED OF THE POSSIBILITY OF THESE DAMAGES), RESULTING FROM YOUR USE OF THE SERVICE. UNDER NO CIRCUMSTANCES WILL TALENTSPRING'S TOTAL LIABILITY OF ALL KINDS ARISING OUT OF OR RELATED TO THIS AGREEMENT, REGARDLESS OF THE FORUM AND REGARDLESS OF WHETHER ANY ACTION OR CLAIM IS BASED ON CONTRACT, TORT, OR OTHERWISE, EXCEED THE GREATER OF THE TOTAL AMOUNT PAID BY YOU TO TALENTSPRING FOR THE SERVICE GIVING RISE TO THE CLAIM, OR $50. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

EACH PROVISION OF THIS AGREEMENT THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS TO ALLOCATE THE RISKS UNDER THIS AGREEMENT BETWEEN THE PARTIES. THIS ALLOCATION IS REFLECTED IN THE PRICING OFFERED BY TALENTSPRING TO YOU AND IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS OF THIS AGREEMENT. THE LIMITATIONS IN THIS SECTION WILL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY UNDER THIS AGREEMENT.

Indemnity
You will defend, indemnify and hold TalentSpring, and its subsidiaries, affiliates, officers, agents, and employees, harmless from any costs, damages, expenses, and liability caused by your Resume, Job Posting, or your use of the Service, your violation of this Agreement, or your violation of any rights of a third party through use of the Service.

Updates to this Agreement
We may occasionally update this Agreement. When we do, we will revise the "last updated" date on the Agreement, and you may view the most current version at http://www.TalentSpring.com/about/terms_of_service. It is your responsibility to review the most recent version of the Agreement frequently and remain informed about any changes to it. By continuing to use your account or the Service, you consent to any updates to this Agreement. This version of the Agreement supersedes all earlier versions, and comprises the entire agreement between you and TalentSpring regarding the Service.

General Legal Notices
TalentSpring's failure to act in a particular circumstance does not waive its ability to act with respect to that circumstance or similar circumstances. TalentSpring will have no liability to you for any failure or delay in the performance of its obligations under this Agreement on account of strikes, shortages, riots, acts of terrorism, insurrection, fires, flood, storm, explosions, earthquakes, internet outages, computer virus, acts of god, war, governmental action, or any other cause that is beyond TalentSpring's reasonable control. By using the Service, you consent to receiving electronic communications from TalentSpring. These communications will include notices about your account and information concerning or related to the Service. You agree that any notice, agreements, disclosure or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing. This Agreement is governed by the laws of the State of Washington, excluding conflicts of law principles. Any legal actions against us must be commenced within one year after the claim arose. You irrevocably consent to the exclusive jurisdiction of the federal, state and local courts located in King County, Washington. Any controversy or claim arising out of or relating to the Service or this Agreement will be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration will be conducted in King County, Washington, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. The award of the arbitrator shall be final and binding upon the parties without appeal or review except as permitted by Washington law. Notwithstanding the foregoing, either party may seek any interim or preliminary injunctive relief from any court of competent jurisdiction, as necessary to protect the party's rights or property pending the completion of arbitration.

Copyright Infringement
TalentSpring respects the intellectual property rights of others, and asks you to do the same. It is the policy of TalentSpring to terminate the access privileges of those who repeatedly infringe the copyright rights of others. If you believe that your work has been posted on the Service in a way that constitutes copyright infringement, please contact TalentSpring at the address below and provide the following information: (1) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (2) a description of the copyrighted work that you claim has been infringed, and identification of the time(s) and date(s) the material that you claim is infringing was displayed on the Service; (3) your address, telephone number, and email address; (4) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (5) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
